Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Wings mobile application, website, and related services (collectively, the "Service") provided by Parabella ("Parabella," "we," "our," or "us"). Wings is a social networking application that enables adult users to discover, connect, communicate, and meet other users. By creating an account, downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

These Terms incorporate by reference our Privacy Policy, End User License Agreement, and any Community Guidelines or other policies referenced herein.

1. Eligibility

The Service is strictly for adults. You must be at least 16 years of age to access, register for, or use the Service. By using the Service, you represent and warrant that:

• You are at least 16 years old;
• You have the legal capacity to enter into a binding contract with Parabella;
• You are not barred from using the Service under the laws of Australia or any other applicable jurisdiction;
• You have not previously been suspended or removed from the Service; and
• You are not a registered sex offender or required to register on any sex offender registry.

We may, at any time and at our sole discretion, require you to verify your age and identity. Accounts found to belong to anyone under 18 will be terminated immediately and any associated User Content may be removed.

2. Account Registration and Security

To use the Service you must create an account. You agree to:

• Provide accurate, current, and complete information about yourself, including your real first name and a recent, recognisable photograph of yourself;
• Keep your account information up to date;
• Maintain only one personal account at a time;
• Keep your login credentials confidential and not share your account with any other person;
• Promptly notify us at admin@parabella.io of any unauthorised use of your account or any other suspected breach of security.

You are responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to comply with these obligations.

3. Your Profile and User Content

The Service is built around user profiles and the content you share, including photos, videos, biographical information, messages, and other materials you create, upload, or transmit (collectively, "User Content"). You are solely responsible for your User Content and the consequences of sharing it.

You represent and warrant that:

• Your User Content is accurate and not misleading, and your profile reflects your authentic identity;
• You own or have all necessary rights, licences, and permissions to share your User Content, including any depiction of other identifiable individuals;
• Your User Content does not infringe, violate, or misappropriate any third-party right (including intellectual property, privacy, or publicity rights) and complies with all applicable laws;
• Your User Content does not violate these Terms or any applicable Community Guidelines.

You retain ownership of your User Content. By submitting User Content, you grant Parabella a worldwide, non-exclusive, royalty-free, sublicensable, and transferable licence to host, store, use, copy, reproduce, distribute, modify, adapt, translate, publicly display, publicly perform, and create derivative works of your User Content for the purposes of operating, providing, promoting, and improving the Service. This licence continues for as long as your User Content remains on the Service and, for content shared with other users (such as messages or shared photos), for as long as is reasonably necessary to provide the Service to those users.

4. Community Standards and Prohibited Conduct

To keep Wings a safe and respectful community, you agree that you will not, and will not attempt to or permit others to:

• Use the Service if you are under 16 years of age;
• Create a profile that is misleading, deceptive, or impersonates another person, including using photos that are not of you or that have been digitally altered to misrepresent your identity;
• Maintain more than one personal account, or create an account on behalf of another person;
• Harass, bully, intimidate, stalk, threaten, abuse, or otherwise harm any other user;
• Post or send content that is hateful, discriminatory, or that promotes violence or hatred against any individual or group based on race, ethnicity, national origin, religion, disability, age, gender, sexual orientation, gender identity, or any other protected characteristic;
• Post, send, or transmit nude, sexually explicit, pornographic, or sexually suggestive content of any person, whether yourself or others;
• Engage in, promote, facilitate, or solicit any form of prostitution, escort services, sex trafficking, or commercial sexual activity;
• Engage in, promote, facilitate, or depict any sexual conduct involving minors, or any other form of child sexual exploitation or abuse material. We have a zero-tolerance policy for such conduct and will report it to law enforcement;
• Share, request, or post sexual content of any person without their explicit consent (including "revenge porn" or non-consensual intimate imagery);
• Solicit, request, or transmit money, gifts, credit-card details, banking information, or other financial information from other users; engage in fraud, scams, phishing, romance scams, investment schemes, or money laundering;
• Use the Service to advertise, promote, or sell goods or services, recruit for multi-level marketing schemes, or send unsolicited promotional content (spam);
• Share, post, or distribute another user's personal information (including real name, address, phone number, email, employer, or other identifying information) without that user's consent ("doxxing");
• Post or share content depicting, promoting, or facilitating illegal drug use, the sale of controlled substances, firearms, weapons, explosives, or other illegal goods;
• Post or share content depicting or promoting self-harm, suicide, eating disorders, or other harmful behaviour;
• Post or share content depicting graphic violence, gore, animal cruelty, or content that is gratuitously shocking, disturbing, or distressing;
• Engage in any activity that is unlawful, fraudulent, defamatory, libellous, or that violates the privacy or publicity rights of any person;
• Harvest, scrape, collect, or store personal data about other users, or attempt to use the Service to build databases of users;
• Use any robot, spider, scraper, crawler, bot, or other automated means to access, interact with, or extract data from the Service;
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any part of the Service;
• Interfere with, disrupt, overload, or impair the Service, its servers, or networks, or attempt to gain unauthorised access to the Service or other users' accounts;
• Use the Service for any commercial purpose without our prior written consent;
• Circumvent, disable, or otherwise interfere with any security, age-verification, content-moderation, or access-control features of the Service;
• Use the Service after we have suspended or terminated your account, or evade such suspension or termination by creating a new account.

We may publish supplemental Community Guidelines from time to time that provide further detail on acceptable behaviour. You agree to comply with those guidelines as part of these Terms.

5. Content Moderation, Reporting, and Blocking

We provide in-app tools to let you block other users and report profiles, messages, photos, or other content that you believe violates these Terms or our Community Guidelines. You agree to use these tools rather than retaliating against other users.

We may, but are not obligated to, monitor, review, screen, edit, remove, refuse, restrict, or disable access to any User Content at any time and for any reason, including content that we determine, in our sole discretion, violates these Terms, our Community Guidelines, or any applicable law, or that is otherwise objectionable. We may use automated systems, human review, or a combination of both, and we may cooperate with law enforcement or other authorities where required or where we believe it is appropriate. We are not responsible for User Content posted by you or any other user and make no warranty about the accuracy, integrity, or quality of any User Content.

6. Safety; Interactions With Other Users; In-Person Meetings

You are solely responsible for your interactions with other users, whether online or in person. Parabella does not conduct criminal background checks, identity verification, or other formal screening of users beyond what is described in our Privacy Policy or otherwise expressly stated in the Service. We make no representations or warranties about the conduct, identity, intentions, character, suitability, or compatibility of any user.

You acknowledge and agree that:

• Online connections may involve risks, including being misled, scammed, harassed, or harmed by other users;
• Meeting other users in person involves additional risks and should be undertaken with caution;
• You will use your own judgment and take reasonable precautions in all interactions with other users, including in-person meetings (for example, meeting in public places, telling a trusted person where you will be, and not sharing sensitive personal or financial information);
• You will never send money, financial information, or anything of value to another user, and you understand that doing so is at your own risk;
• You will comply with all applicable laws in your interactions with other users.

To the maximum extent permitted by law, Parabella is not liable for the conduct, statements, or actions of any user, online or offline, or for any loss, injury, claim, liability, or damage arising from or related to your interactions with other users, including in-person meetings.

7. Subscriptions, Billing, and Auto-Renewal

The Service may offer optional paid subscriptions, in-app purchases, or other premium features ("Subscriptions"). By purchasing a Subscription, you agree to the following terms in addition to any terms presented at the time of purchase:

• Billing: Payment will be charged to your Apple ID, Google Play account, or other designated payment method at confirmation of purchase. All fees are stated in the applicable local currency and are exclusive of any applicable taxes unless otherwise stated.
• Subscription Period: Subscriptions are offered on a recurring basis (e.g., weekly, monthly, or annually) as specified at the time of purchase.
• Auto-Renewal: Your Subscription will automatically renew at the end of each billing period at the then-current rate unless auto-renewal is turned off at least 24 hours before the end of the current period. By subscribing, you authorise us (or the applicable app store) to charge your payment method for each renewal until you cancel.
• Renewal Charge: Your account will be charged for renewal within 24 hours prior to the end of the current Subscription period at the cost of the chosen Subscription package.
• Managing and Cancelling Subscriptions: You can manage your Subscription and turn off auto-renewal at any time through your Apple App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period; you will continue to have access to premium features until that time.
• Free Trials and Promotional Offers: We may offer free trials or promotional pricing for Subscriptions. Unless you cancel before the end of the trial or promotional period, you will be automatically charged the applicable Subscription fee. Any unused portion of a free trial period will be forfeited when you purchase a Subscription, where applicable by law. Free trials and promotional offers may not be combined with other offers and are limited to one per user unless otherwise stated.
• Price Changes: We reserve the right to change Subscription prices and the features included in each Subscription tier at any time. Any price change will take effect at the start of the next billing cycle following the date of the price change and will not apply retroactively. We will provide reasonable advance notice of any material price increase, and you will have an opportunity to cancel before the change takes effect. Your continued use of the Subscription after the price change constitutes your acceptance of the new price.
• Refunds: Except where required by applicable law, all payments are non-refundable and we do not provide refunds or credits for partial Subscription periods, unused time, or unused features. Refund requests for purchases made through the Apple App Store or Google Play must be made directly to Apple or Google in accordance with their respective refund policies.
• Loss of Premium Features on Suspension: If your account is suspended or terminated for violation of these Terms, you will lose access to any Subscription and any associated premium features without refund, to the extent permitted by law.
• Taxes: You are responsible for any applicable sales, use, value-added, goods and services, or similar taxes associated with your Subscription, unless we are required by law to collect such taxes on your behalf.
• Failed Payments: If we are unable to process payment for your Subscription, we may suspend or terminate your access to premium features until payment is successfully made.

8. Consumer Rights

Nothing in these Terms is intended to limit or exclude any rights or guarantees you may have as a consumer under applicable law, including the Australian Consumer Law set out in Schedule 2 of the Competition and Consumer Act 2010 (Cth), or any equivalent legislation in your jurisdiction that cannot be lawfully excluded. Our goods and services come with guarantees that cannot be excluded under the Australian Consumer Law. To the extent that these Terms purport to exclude, restrict, or modify any rights or remedies that cannot be lawfully excluded, those provisions do not apply to you. Where we are permitted by law to limit our liability for breach of a consumer guarantee, our liability is limited, at our option, to the resupply of the services or the payment of the cost of having the services supplied again.

9. Intellectual Property

The Service, including all software, designs, text, graphics, logos, trademarks, and other content (excluding User Content), is the property of Parabella or its licensors and is protected by copyright, trademark, and other intellectual property laws. Subject to your compliance with these Terms, Parabella grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your personal, non-commercial use. Nothing in these Terms transfers any ownership or intellectual property rights to you. You may not use any of our trademarks or branding without our prior written consent.

10. Third-Party Services

The Service may contain links to or integrate with third-party websites, services, or content that are not owned or controlled by Parabella. We are not responsible for the content, policies, or practices of any third-party services. Your use of any third-party service is at your own risk and subject to that third party's terms and policies.

11. Suspension and Termination

We may, at our sole discretion and without liability to you, suspend, restrict, or terminate your access to the Service (including any active Subscription), remove your User Content, or take other remedial action at any time, with or without notice, if we believe that you have violated these Terms or our Community Guidelines, engaged in fraudulent, harmful, or unlawful activity, or otherwise pose a risk to the safety of other users or the integrity of the Service.

You may terminate your account at any time by following the account-deletion process in the app or by contacting us at admin@parabella.io.

Upon termination, all rights granted to you under these Terms will cease, and you must stop using the Service. Termination does not entitle you to a refund of any fees paid, except where required by applicable law. Sections of these Terms that by their nature should survive termination (including, without limitation, intellectual property, User Content licences, disclaimers, limitations of liability, indemnification, and dispute resolution) will survive.

12. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE. PARABELLA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY DEFECTS WILL BE CORRECTED. PARABELLA MAKES NO REPRESENTATIONS OR WARRANTIES ABOUT THE CONDUCT, IDENTITY, OR SUITABILITY OF ANY USER, OR ABOUT ANY MATCHES, INTRODUCTIONS, OR CONNECTIONS MADE THROUGH THE SERVICE. YOU USE THE SERVICE AT YOUR OWN RISK.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL PARABELLA, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, REPUTATION, OR OTHER INTANGIBLE LOSSES, OR ANY DAMAGES ARISING FROM OR RELATED TO YOUR INTERACTIONS WITH OTHER USERS (WHETHER ONLINE OR IN PERSON), WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED AUSTRALIAN DOLLARS (AUD $100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Parabella and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to: (a) your use of or access to the Service; (b) your User Content; (c) your interactions with other users, whether online or in person; (d) your violation of these Terms or our Community Guidelines; or (e) your violation of any law or any third-party right, including any intellectual property or privacy right.

15. Changes to the Service

We may modify, suspend, or discontinue the Service (or any part or feature of it), including premium features available through a Subscription, at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service, except as expressly required by applicable law.

16. Changes to These Terms

We may revise these Terms from time to time. If we make material changes, we will notify you through the Service or by other reasonable means before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service.

17. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws in force in Australia, without regard to its conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service will be resolved exclusively in the courts of Australia, and you and Parabella submit to the non-exclusive jurisdiction of those courts. Nothing in this section limits your right, where applicable, to bring proceedings in the courts of your country of residence under mandatory consumer protection laws.

18. Severability and Waiver

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.

19. Assignment

You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction. Any attempted assignment in violation of this section is void.

20. Entire Agreement

These Terms, together with our Privacy Policy, End User License Agreement, any Community Guidelines, and any other policies referenced herein, constitute the entire agreement between you and Parabella regarding the Service and supersede all prior or contemporaneous agreements, understandings, or communications, whether written or oral.
